Terms of Service and Platform Governance

1. Legal Architecture and Regulatory Disclosures

1.1. Nature of the Enterprise

Indian Attorneys Ltd (the "Company," "IA UK," "we," "us," or "our") operates as a premier cross-border legal consultancy and technology intermediary. The Company is incorporated in England and Wales and operates as an unregulated legal services provider.

1.2. Statutory Non-SRA Status

IA UK is not a firm of solicitors, is not a barristers' chambers, and is not authorized or regulated by the Solicitors Regulation Authority (SRA) of England and Wales.

1.3. Limitation of Scope

We do not engage in "Reserved Legal Activities" as defined under Section 12 of the Legal Services Act 2007. Our core competencies are limited to strategic multijurisdictional consultancy, AI-facilitated lawyer matching, and secure case management logistics.

1.4. Absence of Statutory Protections

Users ("Clients," "you," or "your") are hereby formally notified that engagement with the Company does not afford the protections associated with regulated UK law firms, including but not limited to the SRA Compensation Fund and mandatory professional indemnity insurance (PII) frameworks.

2. AI-Driven Lawyer Matching and Proprietary Tools

2.1. Algorithmic Processing

The Platform utilizes proprietary Artificial Intelligence ("AI") and machine-learning algorithms to facilitate the identification of legal professionals in India ("Network Attorneys") based on Client-supplied parameters.

2.2. Non-Advisory Nature of AI

All AI-generated outputs, including lawyer matches, case summaries, or document insights, are provided for administrative efficiency and informational purposes only. They do not constitute a legal recommendation, professional endorsement, or a guarantee of a specific Attorney's fitness for a particular instruction.

2.3. Client Autonomy

The final decision to retain, instruct, or dismiss a Network Attorney rests exclusively with the Client. IA UK disclaims all liability for the accuracy or suitability of AI-facilitated matches.

3. Secure Document Vault and Data Fiduciary Roles

3.1. Encrypted Repository

The Platform provides a secure, encrypted digital environment ("The Vault") for the transmission and storage of sensitive legal instruments, identity documentation, and evidentiary materials.

3.2. Limitation of Digital Liability

While IA UK employs enterprise-grade encryption and security protocols, the Client acknowledges that no digital transmission is impervious to breach. By utilizing the Vault, the Client assumes all inherent risks of digital data storage. IA UK shall not be held liable for unauthorized access, cyber-attacks, or data exfiltration unless proven to result directly from the Company's gross negligence or willful misconduct.

3.3. Verification Responsibilities

IA UK acts solely as a conduit for the secure exchange of information. The Company does not warrant the authenticity or legal validity of documents uploaded by Users. Each Network Attorney remains independently responsible for conducting mandatory "Know Your Customer" (KYC) and Anti-Money Laundering (AML) due diligence.

4. Integrated Escrow Facility and Financial Governance

4.1. Limited Payment Collection Agency

IA UK provides an integrated Escrow facility to secure professional fees. The Company acts as a Limited Payment Collection Agent for the sole purpose of facilitating transactions between the Client and the Network Attorney.

4.2. Milestone-Based Disbursement

Funds held within the Escrow facility shall be released to the Network Attorney strictly upon: (a) Explicit Client authorization; or (b) Verified achievement of a predefined contractual milestone.

4.3. Dispute Resolution and Fund Freezing

In the event of a dispute regarding the quality or completion of legal work, IA UK reserves the absolute right to withhold the release of Escrowed funds until the dispute is resolved via mutual settlement, mediation, or a final court order from a court of competent jurisdiction.

4.4. No Fiduciary Interest

Funds held in Escrow are non-interest bearing for the Client and the Network Attorney. IA UK is not a bank, credit institution, or licensed money transmitter.

5. Consultancy Engagement and Non-Circumvention

5.1. Nature of Consultation

Engagement with IA UK consultants (including Ms. Babbar) is provided on a strategic consultancy basis. Such engagement does not establish a solicitor-client relationship under the laws of England and Wales.

5.2. Non-Circumvention Covenant

For a period of twenty-four (24) months following an introduction via the Platform, the Client irrevocably agrees not to engage, contract with, or remit payments to any Network Attorney introduced by IA UK outside of the Platform's financial infrastructure. Any breach of this covenant shall entitle IA UK to seek liquidated damages equivalent to the lost commission or service fees.

6. Comprehensive Limitation of Liability

6.1. Professional Malpractice

IA UK shall have zero liability for any acts of professional negligence, malpractice, breach of contract, or ethical violations committed by a Network Attorney. The Client agrees to seek recourse exclusively against the individual Advocate or Law Firm in the Republic of India.

6.2. Aggregate Liability Cap

The Company's total aggregate liability for any claim, whether in contract, tort (including negligence), or otherwise, arising out of or in connection with the Platform or Services, shall be limited to the total fees paid by the Client to IA UK during the twelve (12) month period immediately preceding the date the claim arose.

7. Cross-Border Data Sovereignty (GDPR & DPDP)

7.1. Informed Consent for Trans-Border Transfer

To facilitate the Services, the Client provides explicit and informed consent for the transfer of personal and sensitive legal data to the Republic of India.

7.2. Regulatory Compliance

IA UK warrants that all data processing is conducted in compliance with the UK GDPR, the Data Protection Act 2018, and the Indian Digital Personal Data Protection (DPDP) Act 2023.

8. Intellectual Property and Prohibited Conduct

8.1. Ownership of Innovation

All software, AI matching logic, user interfaces, and branding are the exclusive intellectual property of Indian Attorneys Ltd.

8.2. Prohibited Use

Users are strictly prohibited from attempting to reverse-engineer AI algorithms, scraping platform data, or utilizing the Vault for the transmission of illicit or malicious content.

9. Governing Law and Jurisdiction

9.1. Proper Law

These Terms and any dispute or claim arising out of them shall be governed by and construed in accordance with the laws of England and Wales.

9.2. Exclusive Jurisdiction

The parties irrevocably agree that the courts of London, England, shall have exclusive jurisdiction to settle any dispute or claim arising under these Terms.
